Governance structure

The Board of Directors of Compagnie Financière Richemont SA, the parent company, is responsible for the overall strategic direction of the Group and the appointment of senior management. In addition, it is responsible for establishing financial controls and appropriate procedures for the management of risk within the Group as well as the overall supervision of the business. The Board is responsible for the preparation of the financial statements of the Company and of the Group and for the organisation of the annual meeting of shareholders. The Board is composed principally of non-executive directors with diverse professional and business backgrounds.

Richemont equity units comprise shares in Compagnie Financière Richemont SA indivisibly twinned with participation certificates issued by its wholly-owned subsidiary, Richemont SA, Luxembourg. As such, the Board of Compagnie Financière Richemont SA is the Group’s supervisory board, composed of a majority of non-executive directors, whilst the Board of Richemont SA, Luxembourg acts as the Group’s management board.

Management processes

The processes for management of our social, economic and environmental performance have been codified by the Board of Compagnie Financière Richemont SA and are set out in the Corporate Governance Regulations section of our website.


Evaluation of performance management

The Board reviews the company’s management of its social, economic and environmental performance at least annually. There is also a Group Corporate Responsibility Committee which meets quarterly to develop the group position and activities in this area.


Performance and reward

The compensation committee of the Board reviews and sets the remuneration policy of senior management based on performance against business key performance indicators.
